1. About NODA
These Terms & Conditions (“Terms”) govern your access to and use of the NODA website, platform, applications, account functionality and related services (collectively, the “Platform”). NODA is operated by AXP FINTECH INC., a Canadian corporation registered under number BC1532562, with registered office at 300-1095 McKenzie Avenue, Victoria, British Columbia V8P 2L5, Canada (“AXP FINTECH”, “NODA”, “we”, “us” or “our”). By creating an account, accessing or using the Platform, you confirm that you have read, understood and agreed to these Terms.
2. Eligibility and Account Registration
You may use the Platform only if you are legally capable of entering into a binding agreement and meet the eligibility requirements applicable to the services you request. You must provide complete, accurate and current information during registration and keep your account information up to date. You are responsible for maintaining the confidentiality and security of your login credentials and for activity carried out through your account, except where applicable law provides otherwise.
3. Verification and Compliance
Access to certain functionality may require identity or business verification and additional compliance checks. NODA may request information and supporting documents necessary to verify identity, ownership, source of funds, transaction purpose or other information required for security, fraud prevention, sanctions screening, anti-money laundering or other legal and compliance purposes. Access to or use of functionality may be limited, delayed, suspended or declined where required by applicable law, compliance requirements or risk controls.
4. Platform and Services
NODA is a technology and fintech platform that enables eligible users to access account, wallet, payment, transfer, currency-conversion and digital-asset functionality made available through the Platform. The specific services available to a user may depend on jurisdiction, account type, verification status, currency or asset, technical availability and other eligibility requirements. Certain functionality may rely on external regulated infrastructure. Where this applies, additional terms, eligibility requirements, compliance procedures, fees, limits and geographic restrictions may apply.
5. Transactions and Instructions
When you submit a transaction or instruction through the Platform, you authorise its processing in accordance with the information displayed to you at the time of the transaction. You are responsible for checking recipient details, amounts, currencies, assets, networks and other transaction information before confirmation. A transaction may be rejected, delayed, restricted or cancelled where required for security, technical, compliance, legal or risk-management reasons. Completed transactions may be irreversible depending on the transaction type, payment rail or digital-asset network used.
6. Fees, Rates and Limits
Applicable fees, exchange rates, transaction limits or other charges will be displayed through the Platform or otherwise communicated before or in connection with the relevant service where required. Fees and limits may vary by service, transaction type, currency, asset, jurisdiction or account status. You are responsible for reviewing the applicable information before confirming a transaction.
7. Digital Assets
Digital assets may be subject to significant price volatility, network congestion, protocol changes, technological risks and regulatory changes. You are responsible for assessing whether any digital-asset transaction is appropriate for you. NODA does not guarantee the value, liquidity or future availability of any digital asset. You must ensure that the correct asset and supported network are selected before initiating a transfer.
8. Prohibited Use
You must not use the Platform for unlawful, fraudulent, deceptive or abusive activity; to violate sanctions or other applicable restrictions; to infringe the rights of another person; to interfere with the security or operation of the Platform; or for any activity prohibited by applicable law or by restrictions communicated through the Platform. NODA may restrict or suspend access where prohibited or suspicious activity is identified.
9. Security
You must take reasonable steps to protect your account, devices, credentials and authentication methods. You must notify NODA promptly if you suspect unauthorised access, loss of credentials, fraud or any other security incident affecting your account. NODA may apply security measures, authentication requirements or temporary restrictions to protect users and the Platform.
10. Suspension and Termination
NODA may suspend, restrict or terminate access to all or part of the Platform where reasonably necessary for security, compliance, legal, operational or risk-management reasons, including suspected fraud, breach of these Terms, failure to provide required information or where continued access would expose NODA or users to material risk. Where appropriate and legally permitted, we will provide information regarding the restriction or required next steps.
11. Intellectual Property
The Platform, including its software, design, branding, text, graphics and other content, is owned by or licensed to AXP FINTECH INC. and is protected by applicable intellectual-property laws. You may use the Platform only for its intended purpose and may not copy, modify, distribute, reverse engineer or commercially exploit Platform content or technology except where expressly permitted by law or in writing.
12. Privacy and Cookies
Personal data is processed in accordance with the NODA Privacy Notice / Privacy Policy. Information about cookies and similar technologies is provided in the NODA Cookie Policy. These documents form part of the information governing your use of the Platform and should be reviewed together with these Terms.
13. Availability and Liability
NODA aims to provide reliable access to the Platform but does not guarantee uninterrupted or error-free availability. Functionality may be temporarily unavailable due to maintenance, technical incidents, network conditions, legal or compliance requirements, or circumstances outside NODA’s reasonable control. To the maximum extent permitted by applicable law, NODA will not be liable for indirect, incidental or consequential loss arising solely from circumstances outside its reasonable control. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
14. Changes to the Terms
We may update these Terms from time to time to reflect changes to the Platform, applicable law, security requirements or operational practices. The current version will be published on the website with the applicable effective date. Where required, material changes will be communicated to users through the Platform or other appropriate means.
